Chapter 20: Internet and WebCenter Policy

Explains the regulations for creating a personal website, what is mandatory and what is prohibited according to the regulations in force in Indonesia.

Market Indonesia’s Internet and WebCenter Policy covers all forms of internet activity related to Market Indonesia, including but not limited to secondary websites, auction sites, social networking sites, weblogs/blogs, classified ads, message boards, email communications and WebCenters. For purposes of this internet and WebCenter policy, "secondary website" means any UnFranchise® Owner website with its own unique URL that promotes Market Indonesia products or the Market Indonesia business opportunity, other than Market Indonesia’s custom websites, mini websites, WebCenters and mini WebCenters.

SECTION 1     MARKET INDONESIA WEBSITES ARE THE ONLY PERMITTED POINTS OF SALE

  1. Market Indonesia’s custom websites, mini websites, WebCenters, and mini WebCenters are the only permitted points of sale (e.g., selling via an online “check out” or “shopping cart” or accepting an online payment) for Market Indonesia products and services on the internet.

  2. UnFranchise Owners may not supply Market Indonesia products to a non-UnFranchise Owner with the knowledge or suspicion that the non-UnFranchise Owner intends to market the products via the internet. UnFranchise Owners must immediately stop supplying products to a non-UnFranchise Owner upon learning that the products are being marketed on the internet.

SECTION 2     NO SALES OR ADVERTISEMENTS OF MARKET INDONESIA PRODUCTS ON AUCTION SHOPPING WEBSITES

  1. Market Indonesia UnFranchise Owners may not sell Market Indonesia products or services through online auction sites, including but not limited to eBay or Yahoo!, or place advertisements or promotions of Market Indonesia or its products or services on such websites.

  2. Market Indonesia UnFranchise Owners may not sell Market Indonesia products or services through online shopping websites, including but not limited to Amazon.com, or place advertisements or promotions of Market Indonesia or its products or services on such sites.

SECTION 3     ALL SECONDARY WEBSITES PROMOTING MARKET INDONESIA OR ITS PRODUCTS MUST BE REGISTERED

  1. Secondary websites are only permitted if registered with the Market Indonesia Compliance Department before being posted for public internet access.

  2. Registration can be completed by emailing your website URL to webregistration@marketamerica.com.

  3. All registered secondary websites must prominently display the registration number in the bottom right corner of the secondary website’s landing page.

  4. Website registration does not constitute approval of the website’s content, and all websites are subject to Market Indonesia’s periodic review to confirm compliance with Market Indonesia’s internet policy.

  5. (E) Any secondary website not registered in compliance with Market Indonesia’s internet policy must be removed immediately. UnFranchise Owners contacted by compliance personnel will not be permitted to keep the site posted while changes are being made to bring the site into compliance. UnFranchise Owners who own or control websites that violate this registration policy are subject to having their access to their UnFranchise.com account blocked without prior notice, in addition to being subject to the Corrective Action Procedure and other appropriate legal remedies.

SECTION 4     UNFRANCHISE OWNERS MUST PROPERLY REPRESENT THEIR STATUS

  1. Any UnFranchise Owner communicating via the internet must use the word “independent” to describe their status (i.e., “Independent UnFranchise Owner”).

  2. If the title or page of a secondary website, message board, social networking site, profile image or weblog/blog references Market Indonesia or contains a Market Indonesia trademark or trade name, the title or page must also include the word “unofficial” and the phrase “Independent UnFranchise Owner.”

SECTION 5     ONLY APPROVED CLAIMS AND TESTIMONIALS CAN BE USED TO PROMOTE THE MARKET INDONESIA OPPORTUNITY OR PRODUCTS

  1. UnFranchise Owners can only make the precise claims regarding Market Indonesia products, services and income that appear in official company literature or publications. All other claims are strictly prohibited.

  2. UnFranchise Owners may not make unauthorized testimonials about Market Indonesia products or services, the marketing plan or the company via any form of online communication.

SECTION 6     DISTRIBUTION OF UNAUTHORIZED CONTENT IS PROHIBITED

UnFranchise Owners may not distribute materials or make statements in any form on the internet that:

  1. Use any Market Indonesia copyrighted material, including but not limited to materials from Market Indonesia websites, publications or presentations, or recordings of any webinars or tutorials.

  2. Depict Market Indonesia's business plan.

  3. Misuse the name or likeness of any Market Indonesia executive or employee, or the trademarks or trade names of Market Indonesia’s direct or indirect partner stores.

  4. Disparage or defame Market Indonesia, including but not limited to Market Indonesia’s related companies, subsidiaries, officers, directors, employees and other UnFranchise Owners.

However, UnFranchise Owners may distribute materials on the internet provided to them through the downloads section of their UnFranchise.com account, including but not limited to pre-approved banner ads and sponsored ads.

SECTION 7     FREE SHIPPING ADVERTISING; NO PRODUCT DISCOUNT ADVERTISING

UnFranchise Owners may advertise “Free Shipping.” However, any other references to product pricing, discounts or additional units for the same price, or the use of the terms “discount” or “free” or any other terms that suggest discount pricing or favorable financial terms for internet sales are forbidden.

SECTION 8     NO CONTACT INFORMATION BESIDES AN UNFRANCHISE OWNER’S WEBSITE, MINI WEBSITES, WEBCENTERS AND MINI WEBCENTERS

Other than a Market Indonesia website URL, contact information provided as a means of purchasing Market Indonesia products is prohibited. For example, UnFranchise Owners (UFOs) may not display a toll-free number, email address, mailing or postal address, or link to a third-party website as a means by which a potential customer can contact the UFO to purchase a product. However, linking to contact information on the UFO’s UnFranchise Business website is acceptable.

SECTION 9     "AD WORD” ADVERTISING MUST USE MARKET INDONESIA-PREPARED ADS AND ACCURATE DISCLOSURE OF DOMAIN NAMES

  1. Only pre-approved sponsored advertisements provided to Market Indonesia website owners via the downloads section of the UnFranchise Owner's UnFranchise.com account may be submitted to search engines, either directly or by proxy (e.g., but not limited to, using a pay-per-click service). The use of any other ads for this type of advertising is expressly prohibited, regardless of the ad’s content. UnFranchise Owners can submit proposed ads for review by Market Indonesia by sending an email to internetcompliance@marketamerica.com with the words “Online Ad Request” in the subject line.

  2. Ads may not disguise the UnFranchise Owner’s domain name to appear as the Market Indonesia domain name.

SECTION 10     LIMITED LICENSE TO USE MARKET INDONESIA INTELLECTUAL PROPERTY

  1. Copyrights: Market Indonesia grants its Independent UnFranchise Owners a limited license to use and display current Market Indonesia product images and logos (but not Partner Store images and logos).

  2. Other images, photos or logos on any Market Indonesia website may not be used on secondary websites or for any other internet use.

  3. Secondary websites or other internet use may not copy the “look and feel” of any Market Indonesia website or publication.

  4. Trademarks: Market Indonesia grants a limited license to its Independent UnFranchise Owners to use and display Market Indonesia’s brand and product names; however, such use must contain the correct trademark designation.

  5. Using meta tags (links) and keywords with Market Indonesia’s trademarks and product names is permitted.

  6. Market Indonesia owns the copyright to all videos created by Market Indonesia. UnFranchise Owners may embed or link to such videos on secondary websites and social networking sites but may not download, copy, transfer, sell or otherwise use videos created by Market Indonesia without written permission from Market Indonesia.

  7. Except as permitted under this section, UnFranchise Owners may not advertise or promote any Market Indonesia products if such advertising or promotion will violate the copyrights, trademarks or trade names of Market Indonesia or its Partner Stores (direct or indirect partners).

SECTION 11     DOMAIN, WEBSITE AND MINI WEBSITE NAMES

  1. No domain name shall incorporate in part or in whole or be confusingly similar to any of Market Indonesia’s trademarks or trade names, or incorporate the names of Market Indonesia executives or employees, the terms "discount" or "free," or similar terms, or any trademark or trade name of Market Indonesia’s Partner Stores (direct or indirect partners).

  2. Market Indonesia reserves the right to reject any domain name selected for a secondary website at any time. If Market Indonesia rejects a name, the UnFranchise Owner must choose another name.

  3. UnFranchise Owners can use a domain name pointing service to link a domain name to their custom website. However, UnFranchise Owners may not mask the domain name of their custom website, including but not limited to using covers, frames or other known methods to change the “look and feel” of their custom website.

  4. Names for UnFranchise Owner websites and mini websites may not be combined in whole or in part or be confusingly similar to any trademark or trade name of Market Indonesia. Also, these names may not incorporate (i) the names of Market Indonesia executives or employees; (ii) the terms “discount” or “free” or similar terms; or (iii) the trademarks or trade names of Market Indonesia’s Partner Stores (direct or indirect partner). Market Indonesia has the right to reject the name of a website or mini website at any time. If Market Indonesia rejects a name, the UnFranchise Owner must choose another name.

SECTION 12     SOCIAL NETWORKING SITES

  1. Owners may reference their Market Indonesia UnFranchise Business and Market Indonesia products on social networking sites according to the Internet and WebCenter policies in this chapter and the advertising and promotions policies in chapter 18.

  2. Profile images and avatars must not include Market Indonesia’s copyrighted or trademarked images or logos.

  3. Group names must not contain the words "official" or "company." Names of groups or pages with (i) a Market Indonesia focus or (ii) containing links to entities or individuals affiliated with Market Indonesia must contain the words “Independent UnFranchise Owner.”

  4. Market Indonesia may, at its sole discretion, prohibit the use of any social media group or page name at any time. If Market Indonesia prohibits the use of a social media group or page name, the UnFranchise Owner must choose another social media group or page name.

  5. UnFranchise Owners can promote their Market Indonesia business on their own social networking pages but cannot promote their Market Indonesia business on Market Indonesia Partner Store pages.

  6. UnFranchise Owners' social networking activities must comply with all rules and policies established by the social networking site on which they conduct their activities. Violating these rules or policies violates Market Indonesia’s Internet and WebCenter policies.

  7. UnFranchise Owners may not advertise or promote both Market Indonesia and any other competing company on the same social networking account. (See IUA&A for details.)

    1. Advertising and promotion of competing companies includes but is not limited to:

      1. Liking or commenting on social networking posts about competing companies.

      2. Sharing social networking posts about competing companies.

      3. Posting directly on social networking sites about competing companies.

    2. If an UnFranchise Owner's contract with Market Indonesia is terminated for any reason, the UnFranchise Owner's social networking account used to advertise and promote Market Indonesia cannot be used to advertise or promote other competing companies for twenty-four (24) months (or longer if the UnFranchise Owner is subject to other agreements with Market Indonesia).

SECTION 13     ELECTRONIC MAIL (EMAIL)

UnFranchise Owners are only permitted to reference Market Indonesia in emails as follows:

  1. A signature box identifying the UnFranchise Owner as an Independent UnFranchise Owner is permitted.

  2. Text hyperlinks to the UnFranchise Owner's website or WebCenter are also permitted as part of an email signature box that identifies the UnFranchise Owner as an Independent UnFranchise Owner. However, the email from which this link originates must not make any statement inconsistent with Market Indonesia's rules, regulations, policies and procedures or Market Indonesia's internet policy.

  3. UnFranchise Owners are prohibited from sending “spam” or “spamming” (sending unsolicited emails) either directly or indirectly related to Market Indonesia. This prohibition includes any spam emails referencing Market Indonesia or any Market Indonesia products or services, any hyperlink to an UnFranchise website, or the Market Indonesia website or marketing plan, directly by name or otherwise. Such unauthorized references include the use of close approximations, general references and general descriptive references to any Market Indonesia intellectual property.

SECTION 14     INTERNATIONAL INTERNET SALES

Market Indonesia-branded products and services may not be sold in countries where Market Indonesia or its affiliated/related companies have not officially opened for business.

SECTION 15     WEBCENTER POLICY

  1. WebCenter, mini WebCenter and website sales: UnFranchise Owners participating in the maWebCenters® program must comply with the following terms and conditions in using their WebCenter:

    1. WebCenter Owners who enlist the help of non-UnFranchise Owners to sell websites may not obstruct or deny the non-UnFranchise Owners’ access to the Market Indonesia business opportunity if they wish to start an UnFranchise Business. A non-UnFranchise Owner piloting the UnFranchise Business opportunity by selling websites for a WebCenter owner cannot be requested to be sponsored by another WebCenter owner.

    2. A WebCenter Owner may not allow the use of their WebCenter by another UnFranchise Owner to sell websites to avoid purchasing a WebCenter. A WebCenter owner can help another WebCenter owner learn how to sell websites. However, any BV and retail profits resulting from such assistance and support must be properly credited to the assisted UnFranchise Owner.

    3. WebCenter owners with a mini WebCenter subscription may not transfer or permit the use of the mini WebCenter to another Market Indonesia UnFranchise Owner. If a mini WebCenter user working with a WebCenter owner becomes an UnFranchise Owner, the mini WebCenter must be disabled. The new UnFranchise Owner can purchase their own WebCenter if they want to continue selling websites.

    4. In providing cross-line support, an UnFranchise Owner may not make such support conditional upon the cross-line UnFranchise Owner or prospect engaging in any activities that attempt to divert their efforts, production or activities away from the initial line of sponsorship within the MPCP.

    5. Money received for creating or modifying a third-party website through the WebCenter interface must first be applied to activating the website before being used for payment for any other purpose.

    6. UnFranchise Owners may not use the pre-approved UnFranchise Owner merchant accounts (associated with the website and the accompanying virtual terminals) to collect money for website sales. Such accounts are not approved to allow website sales.

  2. Billing via website/WebCenter:

    1. Definitions:

      1. "Chargeback” is defined as a customer-disputed charge on a credit card or bank statement if paid by credit card or debit card, respectively.

      2. "Returns” are electronic check payments that a customer's bank returns for any reason. Examples of returns include but are not limited to insufficient funds, uncollected funds, stopped payments and revoked authorizations.

    2. Chargeback/return policy: All chargebacks or returns will be subject to service fees as follows:

      1. Rp450,000 service fee per chargeback or return received on registration authorization and setup hosting, or the down payment on a finance option and setup hosting.

      2. Rp450,000 service fee per chargeback or return received on monthly WebCenter/website hosting and website finance payments.

      3. Rp450,000 service fee per chargeback or return on domain names.

    3. WebCenter/website billing policy:

      1. If the Chargeback Prevention Form available through the WebCenter Administration's Sales Support section is completely filled out, including an imprint of the customer's credit/debit card, and the original documents (not copies) are submitted to maWebCenters before the chargeback is received, the UnFranchise Owner will not be charged the Rp450,000 service fee. The mailing address for submitting the original, valid Chargeback Prevention Form is:

        ma WebCenters
Market Indonesia – in Jakarta, Indonesia
        Email: unfranchiseservices@marketindonesia.id

Sending copies to maWebCenters is not acceptable. UnFranchise Owners should retain a copy and proof of mailing for their records in case of disputes or discrepancies. Customized forms containing the wording and customer information/authorization found on the downloadable WebCenter forms are also acceptable.

      2. UnFranchise Owners are responsible for the repayment of any profits on transactions charged back or returned by the bank and the associated service fees to clear any chargebacks or returns.

      3. All chargebacks and returns must be completed with a credit card, money order or credit on account with Market Indonesia.

      4. If Market Indonesia receives a chargeback or a payment/electronic draft is returned as unpaid, we will contact the UnFranchise Owner by telephone to discuss the circumstances of the chargeback or return. If Market Indonesia is unable to make contact with the UnFranchise Owner on the first attempt, any or all of the UnFranchise Owner's contractual privileges will be suspended, including but not limited to all WebCenter privileges, until the chargeback or return is cleared or an alternative payment is made available.

      5. Commission checks may be suspended until all chargebacks or returns, including any service fees, are resolved with Market Indonesia. Commission checks will be held for only four consecutive weekly commission cycles from the week the commission checks would have been mailed. If the chargeback is still unresolved or payment arrangements have not been made, the commission checks will be forfeited.

      6. Business Volume for transactions charged back or returned will be removed on the day Market Indonesia receives notification of the chargeback/return. Removed Business Volume will be applied to the initial transaction week, and any commission check earned on that volume may be adjusted accordingly.

      7. Unless other payment arrangements are in place to compensate for the chargeback situation, any chargebacks or return balances not settled within thirty (30) days will be submitted to a collection agency. If the chargeback or return has not been paid after thirty (30) days, the outstanding balance will be reported to the Credit Reporting Agency and may impact the UnFranchise Owner's credit score.

  3. WebCenter and website cancellation and credits: The following policies apply to WebCenter and website cancellations.

    1. Websites (including “secondary websites”) must be canceled within the 10-day trial period to receive a full refund.

    2. WebCenters must be activated at the time of purchase. The WebCenter subscription service is nonrefundable if canceled.

    3. The UnFranchise Owner must repay Market Indonesia any profits received from a website sale that was canceled within the 10-day trial period. Payment can be made by credit card, sending funds, credit on account with Market Indonesia or giving a check to the cashier (check writing privileges apply).

    4. If the retail profit was paid on a website subject to a chargeback or a payment/electronic draft was returned due to non-payment, and the UnFranchise Owner has received payment for retail profits on that website, Market Indonesia will contact the UnFranchise Owner upon notification of the chargeback or returned payment. The UnFranchise Owner's account will be suspended until arrangements are made with our Web Billing Department.

    5. Commission checks may be held or applied to outstanding balances until all profits are paid back to Market Indonesia. Commission checks will be held for only four consecutive weekly commission cycles from the week the commission check would have been mailed. If profits are still outstanding, commission checks will be forfeited unless other payment arrangements have been made and accepted by Market Indonesia.

    6. Business Volume for all websites (including “subsidiary websites”) canceled within the 10-day trial period will be deleted on the day Market Indonesia receives notification of such cancellation. The Business Volume assigned in the initial transaction week will be deleted.

    7. WebCenters that have been canceled for any reason must be reactivated using the correct activation code and payment of fees.

    8. Credit for all WebCenter and website services is issued case-by-case based on Market Indonesia's sole discretion.

  4. WebCenter suspension: WebCenter owners may not suspend their WebCenter hosting at any time. WebCenters that are fifteen (15) days in arrears on hosting fees will be deactivated without notice.

      5. A Partner cannot downgrade to become an Affiliate.

      6. UnFranchise Owners who wish to participate in the WebCenter Pro Affiliate and Pro Partner Program cannot participate as an Affiliate but can as a Pro Partner. SECTION 17     INTERNET TRAINING AND CORING

Due to the frequent updating of internet-related products and services (and associated GMTSS training presentations), internet training and coring are governed by the following:

  1. Imitation trainings and corings: UnFranchise Owners who are not Certified WebCenter Trainers (CWTs) may not conduct trainings or corings that mimic WebCenter Certification Training (WCT) using materials obtained from previously attended Certified WebCenter Training courses. Non-CWTs may conduct corings using materials available to all UnFranchise Owners through their UnFranchise.com account.

  2. Approved website trainings and materials: Without specific written approval from the Market Indonesia Internet Training and Sales Department, UnFranchise Owners may not teach or promote website sales methods or systems that deviate from Market Indonesia’s WCT. Only CWTs can conduct WCT. Additionally, only company-approved materials may be used to represent the Market Indonesia maWebCenters Website Sales Program at corings and GMTSS meetings.

  3. Approved trainings: CWTs may not conduct WebCenter Certification Trainings that have not been approved through the GMTSS system for a specific date and location. CWTs planning to conduct trainings in areas within 100 miles of another CWT location or within 100 miles of another scheduled CWT curriculum training should contact the affected trainers as a courtesy to notify them of the training and coordinate training efforts.

SECTION 18     INTERNET AND WEBCENTER POLICY ENFORCEMENT AND DISCIPLINARY ACTIONS

  1. Leader responsibilities: All leaders (Certified Executive Coordinators and higher UnFranchise Levels) must enforce Market Indonesia's internet and WebCenter policies.

    1. Upon becoming aware of a clear or suspected violation of Market Indonesia’s internet policy, any leader must immediately attempt to achieve compliance by contacting the violating UnFranchise Owner directly.

    2. If a leader cannot achieve compliance after directly contacting the violating UnFranchise Owner, that leader must immediately report the violation or possible violation to the Market Indonesia internet compliance coordinator. UnFranchise Owners may contact the internet compliance coordinator at the corporate office via mail or email with relevant facts.

    3. All UnFranchise Owners, regardless of UnFranchise Level, must report violations of this policy to upline leadership and Internet Compliance.

  2. Disciplinary action: Any violation of Market Indonesia’s internet policy may result in the initiation of the Corrective Action Procedure, which provides for various sanctions, including possible cancelation of the violating UnFranchise Owner's contract.

    1. Violating this policy may result in immediate suspension of the violating UnFranchise Owner’s website, mini website, WebCenter, mini WebCenter, etc., pending correction of the violation. UnFranchise Owners have ten (10) days to correct minor violations of Market Indonesia’s internet policy.

    2. Failure to comply, repeat violations and serious violations will result in the initiation of the Corrective Action Procedure as described in the Market Indonesia.
